STANDARD TERMS & CONDITIONS
VALIDITY OF QUOTATION:
This quotation is valid for 30 days only & prices should be reconfirmed after this period.
DELIVERY:
Delivery on the above type equipment is from 6 to 7 weeks following of Techno-Commercial clear order.
PAYMENT TERMS:
50 % Advance along with Techno-Commercial PO
50 % Against PI + GST prior to dispatch.
STATUTORY CHARGES:
GST shall be 18 % Extra
PACKING & FORWARDING CHARGES:
It shall be 2.5 % Extra
TRANSPORTATION & TRANSIT INSURANCE
The Insurance of equipment is to be borne by the customer. Transportation can be arranged “To Pay” basis. For transport the equipment will be dispatched in separate boxes.
INSURANCE:
Purchaser represents that they have a program of Insurance which adequately protects their interest, and that of their employees and agents, including damage to plant, property and equipment, personal injury of any kind, directly or indirectly related in any way to the equipment, service, repair or parts supplied by Seller. According, Purchaser waives any claim against seller for the foregoing, and on behalf of its Insurance Company, any right of subrogation in connection therewith.
COMMISSIONING CHARGES:
The purchaser will be charged extra for the to and fro travel and local conveyance and living expenses of our field engineers even during start-up period. These charges shall be as specified in the proposal.
The normal period of start-up of the equipment is about three to five days, if all the site material and necessary arrangements are complete. At the time of start-up, the services of our field engineer will be free of “Daily Service Charges” up to following days:
These charges are payable to our engineers as soon as the commissioning is completed.
These services are highly recommended for proper start-up and check out of the equipment. And these services will be helpful for proper training of your operational and maintenance people.
STARTUP:
The supplier’s project engineering personnel will guide purchaser’s technical people for installation of equipment, selection and location of auxiliary equipment’s like cooling tower, transformer, pipes, pumps, etc. if applicable
They may also give guidance on construction of platform and tanks. But they will not be available on a day-to-day basis to supervise erection job.
The supplier’s engineer will start the equipment only if the water and power system are available as per our specifications which is to be completed before the engineer is called for start-up.
All outstanding must be cleared before start-up.
Excess material, if any, left after commissioning is Heatrotherm’s property and will be taken back or can be retained by purchaser on chargeable basis.
AFTER SALES SERVICE:
During the warranty period if any fault occurs, Service of engineer will be charged at the actual cost of traveling, local conveyance and living expenses only. But no daily service will be billed. However, after this period the daily service charges of Rs. 2000/- per engineer shall be available.
As far as possible our filed service engineer will use air travel or other fastest possible means available at that time.
The customer should receive the engineers at the airport /railway /bus stop and should arrange and pay for suitable lodging and boarding. The customer should also arrange for to local conveyance for the engineers.
Supplier’s service engineers will attend faults, material required for rectifying the equipment will be provided by customer.
SPARES AVAILABILITY:
Generally emergency spares are available readily from our nearby service center. Although it is possible that sometime our service center person is not available or we are out of stock on a particular item, but we want to try our best to make man and material both available at that time.
After the warranty period is over, customer has to make full payment before hand as emergency spares are not available on credit.
If anyone wishes to stock some selected spares, then he is advised to allow 6-to-10-week delivery after placing order at Ahmedabad with 35% advance. Unless full advance received, the spares will be sent through Bank only and not on credit basis. Please ask for our current pricelist for spares. Please note that we never offer discount on spares, or we give them on loan basis, after warranty period is over. Spares prices are subjected change without notice.
WARRANTY OF EQUIPMENT:
The warranty stated here is valid only if supplier’s engineer has commissioned the equipment.
HEATROTHERM agree to repair or replace ex-factory parts (except expendable items such as lining refractory’s, refractory components, such as fuses, bulbs, pumps seals and water-cooled leads, Hydraulic hose pipes etc.) that fail due to defects in material or workmanship within one year of start-up or 18 months after the shipment, whichever occurs first.
HEATROTHERM makes no warranty (expressed or implied) of any other kind with respect to the equipment.
HEATROTHERM IS LIABLE ONLY FOR REPAIR OR REPLACEMENT OF DEFECTIVE PARTS. IN NO EVENT SHALL HEATROTHERM BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.
Please note that if cause of failure is identified as arising out of improper operation, maintenance negligence, tampering or any accident etc. then such parts and labour are not covered under above warranty clause. This will be judged fairly by a team of our technical experts at Ahmedabad in consultation with the concerned filed engineers.
LAPS OF WARRANTY:
The warranty will lapse if the purchaser uses components from any other suppliers/manufacturers without Heatrotherm express written permission; Or if factory set limits are tampered with; Or if servicing is done by other than Heatrotherm engineers; Or sale of the equipment within warranty period.
If there are any statutory requirements for installation of the equipment quoted then you will have to provide the same in your order.
REPLACEMENT OF COMPONENTS DURING COMMISSIONING AND WARRANTY:
In order to see that purchaser’s breakdowns, remain minimal, Heatrotherm will Endeavour to send replacement’s parts “on loan” basis as fast as possible. If it is judged that the part is not damaged because of manufacturing defect, then the purchaser will return the loan at his expense, failing which he will compensate Heatrotherm for the loss arising from the failure to return the loan such amount as may be determined by Heatrotherm.
The defective components must be returned to Heatrotherm by the customer within 15 days for the receipt of free replacement otherwise Heatrotherm shall raise the bill for the components not returned.
To and fro freight, insurance charges will have to be borne by the purchaser for such free replacement spares. It will be the purchaser’s responsibility to see that the defective part is packed properly to reach our works within 15 days on freight paid basis otherwise the replaced component will be billed.
RULES ON WARRENTY:
However, under odd circumstances like if the local Engineer is unable to solve the problem or he is out of station and HEATROTHERM is required to send engineer from AHMEDABAD or any other service station.
Customer will have to pay or arrange his actual expenses like Traveling, Boarding, Lodging and local conveyance etc…..
As this contract is for technical services only, All the necessary spare parts, manpower, tools etc, has to be arranged by the customer at his own cost. It is
Advisable that the customer maintains the stock of critical spares with him at all times.
In case additional manpower (Trained technician) is required for some special jobs which require special skills, HEATROTHERM can take up this job at reasonable extra cost.
If some parts or component of the equipment is required to be send to our factory for repair, the same will be repaired by us at an extra cost. In addition to the repairing charges, the customer will have to bear to & fro transportation expenses.
Under this contract, Heatrotherm will try to give you spares at extra cost on priority basis however HEATROTHERM will not assure availability of all the parts instantly. Likewise, HEATROTHERM will try to give you services on priority basis, but HEATROTHERM will not assure the availability of service engineer at all times, nor we can assure you the time required to solve the problem.
HEATROTHERM will not be responsible for any production loss, damages to any of the equipment’s, bodily injury to any person or any other kind of direct or indirect loss, accidents, or consequences.
JURISDICTION:
  1. All claims will be settled in the law courts under Ahmedabad     Jurisdiction.
